1. Acceptance of Terms

By accessing or using the website located at japhllc.com (the "Site") or any services offered by JAPH Investments, LLC ("JAPH," "we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Site or our services.

These Terms apply to all visitors, clients, and others who access or use the Site.

2. Description of Services

JAPH Investments, LLC is a multi-division professional services company headquartered in Houston, Texas. We provide the following services:

Financial Services Division

Bookkeeping, accounting, tax preparation, and business formation services for individuals and small businesses. Services are administrative and professional in nature. JAPH Investments, LLC is not a licensed CPA firm and does not provide legal or investment advice.

Real Estate Services Division

Licensed real estate services in the State of Texas, including buyer representation, seller representation, and property consultation. Real estate services are provided by licensed REALTOR® agents operating under applicable Texas Real Estate Commission (TREC) regulations. NMLS #2611768.

Business Funding Division

Business funding consultation and mortgage services. Loan products and funding options are facilitated through third-party lenders and financial institutions. JAPH Investments, LLC does not guarantee loan approval or funding outcomes.

3. Client Accounts and Portal Access

Certain features of the Site, including the Client Portal, require you to complete an onboarding process and sign a service-specific engagement agreement. You agree to provide accurate, current, and complete information during onboarding and to update such information as necessary.

You are responsible for maintaining the confidentiality of any login credentials associated with your account and for all activities that occur under your account. You agree to notify JAPH Investments, LLC immediately at [email protected] if you suspect any unauthorized use of your account.

4. Payment Terms

All fees for services are disclosed on the Site and in your service agreement prior to purchase. By completing a checkout transaction, you authorize JAPH Investments, LLC to charge the stated fees to your selected payment method.

Recurring Subscriptions. Bookkeeping service packages are billed on a monthly recurring basis. Your subscription will automatically renew each month until cancelled. You may cancel at any time with 30 days' written notice as described in your engagement agreement.

One-Time Payments. Tax preparation, business formation, and cleanup services are billed as one-time charges at the time of purchase or as invoiced.

Refunds. All fees are subject to the Refund Policy available at japhllc.com/refund-policy. In general, fees are non-refundable once work has commenced.

5. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, and software, is the property of JAPH Investments, LLC or its content suppliers and is protected by applicable United States and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without prior written permission from JAPH Investments, LLC.

6. Client Responsibilities

You agree to provide JAPH Investments, LLC with accurate, complete, and timely information necessary to perform the requested services. This includes financial records, business documents, identification, and any other materials reasonably requested. JAPH Investments, LLC is not responsible for errors, delays, or substandard results caused by inaccurate, incomplete, or untimely information provided by the Client.

7. Confidentiality and Data Security

JAPH Investments, LLC treats all client financial and personal information as strictly confidential. We implement reasonable administrative, technical, and physical safeguards to protect your information from unauthorized access, use, or disclosure. Client financial records are retained for a period of seven (7) years in accordance with IRS recordkeeping requirements, after which they are securely destroyed.

8. Disclaimer of Warranties

The Site and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. JAPH Investments, LLC does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Nothing on this Site constitutes legal, tax, investment, or financial advice. Clients are encouraged to consult with a licensed attorney, CPA, or financial advisor for advice specific to their situation.

9. Limitation of Liability

To the fullest extent permitted by applicable law, JAPH Investments, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Site or services, even if JAPH Investments, LLC has been advised of the possibility of such damages.

In no event shall JAPH Investments, LLC's total liability to you for all claims arising out of or relating to these Terms or the services exceed the total amount paid by you to JAPH Investments, LLC in the twelve (12) months preceding the claim.

10. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by JAPH Investments, LLC, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the matter to non-binding mediation in Harris County, Texas, before pursuing any legal action.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

11. Third-Party Links and Services

The Site may contain links to third-party websites or services, including but not limited to payment processors, mortgage lenders, and real estate platforms. These links are provided for your convenience only. JAPH Investments, LLC does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website or service.

12. Modifications to Terms

JAPH Investments, LLC reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" at the top of this page and, where appropriate, by email. Your continued use of the Site or services following the posting of revised Terms constitutes your acceptance of the changes.

13. Termination

JAPH Investments, LLC reserves the right to suspend or terminate your access to the Site or services at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive.
